End User License Agreement (EULA)

1. Grant of License
The Licensor grants the customer ("Licensee") a non-exclusive, non-transferable and revocable license to install and use the Callpilot software ("Software") on the Licensee's personnel devices, within the limits of the maximum number of operators permitted by the purchased commercial plan.
2. Restrictions
The Licensee shall not, directly or through third parties:
a. Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Software, except as expressly permitted by mandatory law. b. Remove, modify or circumvent technical protection measures (digital signature, integrity check, license check, obfuscation). c. Distribute, sublicense, rent or transfer the Software to third parties. d. Use the Software to provide services to third parties (managed services / outsourcing) without specific written agreement. e. Modify, decompile or redistribute the Android clients supplied as PSTN gateways.
3. Intellectual Property
The Software, including source code, data structures, user interface, trademark and documentation, is the exclusive property of the Licensor. No rights are transferred to the Licensee beyond the mere right to use described in § 1.
4. Automatic Updates
The Software includes a cryptographically signed automatic update mechanism. The Licensee authorizes the installation of updates to apply security patches, bug fixes and new functionality. The Licensee may select the distribution channel (stable / beta) via the settings.
5. Integrity Verification and Security Telemetry
The Software periodically sends to the Licensor's server:
- cryptographic hash of the installed binary (to detect tampering)
- derived machine identifier (hashed, no PII)
- operational counters and metrics (no call content)
Detected tampering triggers automatic revocation of the license for the affected machine and logging of a security event.
6. Suspension and Revocation
The Licensor may suspend or revoke the license in case of:
- non-payment after expiry of the contractual tolerance period;
- breach of the restrictions in § 2;
- detection of tampering as in § 5;
- use of the Software for unlawful activities (including abusive
telemarketing, violation of do-not-call registers or equivalent laws, fraud, harassment).
Revocation takes effect at the next periodic check (heartbeat every 6 hours, or upon reaching the maximum offline grace period of 72 hours), with immediate transition of the client to read-only mode.
7. Limited Warranty
The Software is provided "as is". The Licensor warrants for 90 days from delivery that the Software will operate substantially in conformity with official documentation, save for failures due to misuse, non-conforming hardware or third-party interference.
8. Limitation of Liability
To the extent permitted by law, the total liability of the Licensor for any cause connected with the Software shall not exceed the amount of fees paid by the Licensee in the 12 months preceding the damage event. Indirect damages, loss of profit, loss of chance, reputational damages are in any case excluded.
9. Termination
Upon termination of the license (revocation, withdrawal, non-renewal) the Licensee is obliged to uninstall the Software from all machines. The Licensor may request written confirmation of uninstallation.
10. Governing Law and Jurisdiction
This agreement is governed by Italian law. Any dispute shall be exclusively subject to the courts of [INSERT LICENSOR'S REGISTERED OFFICE], save for mandatory rules.
